Introduction & acceptance

These Terms of Use ("Terms") govern your access to and use of the services provided by Dana.ai LTD ("Dana", "we", "our"). By creating an account, accessing or using any part of the Dana platform, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a property, company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, do not use the service.

If you have signed an order or an agreement with us, it forms part of these Terms. Where it conflicts with these Terms, the signed order or agreement applies.

The service

Dana is an AI employee for hospitality businesses, including hotels, guesthouses and vacation rentals. The service covers guest conversations, bookings, upsells, operations, CRM, management reporting and related workflows. Dana connects to the systems you already use, including your PMS, CRM, payment providers, channel managers, booking engines and messaging platforms.

We may improve, modify or discontinue features at any time. We'll give you reasonable notice before material changes to features you actively use.

Your account

You're responsible for keeping your account credentials safe, for everything that happens under your account, and for making sure the people on your team who use Dana follow these Terms. Notify us immediately if you suspect unauthorized access.

• Provide accurate, up-to-date information about your property and team.
• Do not share login credentials with anyone outside your organization.
• You are responsible for the actions of users you grant access to your workspace.

Permitted use

You agree to use Dana only for lawful purposes and in line with these Terms. You will not:

• Reverse engineer, decompile or attempt to extract the source code of our software.
• Use Dana to send unlawful, abusive, misleading or deceptive messages.
• Interfere with the service, bypass rate limits, or attempt to access data that is not yours.
• Use the service to build a competing product or train a competing model.

AI-generated replies

Dana writes replies to your guests using AI. AI can make mistakes: a reply may be inaccurate, incomplete or out of date, especially when the information you gave Dana is. Dana passes conversations to your team when it isn't sure, but it can't catch every error.

You are responsible for the information, policies, prices and settings you give Dana, for keeping them up to date, and for the messages sent to your guests on your behalf. Review Dana's work regularly, and correct anything that is wrong.

Guest messaging & consent

You are responsible for having your guests' consent wherever the law requires it, including consent to receive marketing messages under the Israeli Communications Law (Telecommunications and Broadcasting), 1982 and similar laws in other countries. You are also responsible for following the rules of the messaging platforms you use with Dana, such as WhatsApp's business and commerce policies.

Your data & guest data

Your guest data stays yours. We process guest data on your behalf and only to deliver the service. We never sell your data and never use it to train shared models that benefit other customers.

Our processing of personal data on your behalf is governed by these Terms, our Privacy policy, and any data processing agreement signed between us. We meet the privacy and security standards hospitality requires, including GDPR-aligned data handling and encryption at rest and in transit.

Fees & payments

Fees depend on what Dana does at your property, the role she takes on, your number of rooms, and the volume of guest conversations each month. Pricing details are agreed between us before the service begins and documented in your order.

Invoices are issued on the cadence agreed with your account manager. Late payments may result in temporary suspension of the service after reasonable notice.

Intellectual property

All rights, title and interest in the Dana platform, including the software, models, interfaces, branding and documentation, are and remain our exclusive property. Nothing in these Terms transfers any of our intellectual property to you.

You retain all rights to your property data, your brand assets and any content you supply. You grant us a limited license to use that content solely to deliver the service to you.

Liability & warranty

The service is provided "as is" and "as available". We work hard to make Dana reliable, but we do not warrant that the service will be uninterrupted, error-free, or meet every specific requirement of your property.

To the fullest extent permitted by law, Dana.ai LTD will not be liable for indirect, incidental, consequential or punitive damages. Our total liability for any claim relating to the service is capped at the fees paid by you to us in the twelve months before the event giving rise to the claim.

Indemnification

You will indemnify Dana.ai LTD against claims by third parties, and the reasonable costs of defending them, that arise from the content and information you give Dana, from messages sent to your guests on your instructions or under your settings, or from your breach of these Terms or of the law. We'll tell you promptly about any such claim and let you take part in handling it.

Termination

You may terminate your subscription at any time by giving written notice, in line with the terms of your order. We may suspend or terminate your access if you materially breach these Terms and the breach is not cured within a reasonable period.

On termination, we'll give you a reasonable period to export your data. After that period, we'll delete or anonymize your data in line with our retention policy, except where law requires us to keep it.

Governing law

These Terms are governed by the laws of the State of Israel. The competent courts in Tel Aviv-Jaffa have exclusive jurisdiction over any dispute relating to these Terms or the service.

Changes & contact

We may update these Terms from time to time. If we make material changes, we'll notify you by email or in-app notice before they take effect. Continued use of the service after the effective date means you accept the updated Terms.

תנאי השימוש האלה ("התנאים") חלים על הגישה שלכם לשירותים של Dana.ai LTD ("דנה", "אנחנו") ועל השימוש בהם. ביצירת חשבון, בכניסה לפלטפורמה של דנה או בשימוש בכל חלק ממנה, אתם מסכימים לתנאים האלה.

אם אתם מקבלים את התנאים בשם מקום אירוח, חברה או גוף משפטי אחר, אתם מצהירים שאתם מוסמכים לחייב אותו. אם אינכם מסכימים לתנאים, אל תשתמשו בשירות.

אם חתמתם איתנו על הזמנה או על הסכם, הם חלק מהתנאים האלה. במקרה של סתירה ביניהם לבין התנאים, ההזמנה או ההסכם החתומים גוברים.

השירות

דנה היא עובדת AI לעסקי אירוח, כולל מלונות, בתי הארחה ודירות נופש. השירות כולל שיחות עם אורחים, הזמנות, מכירות נוספות, תפעול, CRM, דוחות להנהלה ותהליכים קשורים. דנה מתחברת למערכות שאתם כבר עובדים איתן, כולל מערכת ניהול המלון (PMS), ה-CRM, ספקי התשלום, מנהלי הערוצים, מנועי ההזמנות ופלטפורמות ההודעות.

אנחנו רשאים לשפר, לשנות או להפסיק יכולות בכל עת. לפני שינוי מהותי ביכולת שאתם משתמשים בה, ניתן לכם הודעה מוקדמת סבירה.

החשבון שלכם

אתם אחראים לשמור על פרטי הכניסה לחשבון, לכל מה שקורה בחשבון שלכם, ולכך שאנשי הצוות שלכם שמשתמשים בדנה יפעלו לפי התנאים האלה. אם אתם חושדים בגישה לא מורשית, הודיעו לנו מיד.

• מסרו מידע מדויק ועדכני על הנכס ועל הצוות שלכם.
• אל תמסרו פרטי כניסה לאף אחד מחוץ לארגון שלכם.
• אתם אחראים לפעולות של המשתמשים שקיבלו מכם גישה.

שימוש מותר

אתם מתחייבים להשתמש בדנה רק למטרות חוקיות ובהתאם לתנאים האלה. לא תעשו את הדברים הבאים:

• הנדסה לאחור, פירוק או ניסיון לחלץ את קוד המקור של התוכנה שלנו.
• שימוש בדנה לשליחת הודעות לא חוקיות, פוגעניות, מטעות או מרמות.
• הפרעה לשירות, עקיפת מגבלות שימוש או ניסיון לגשת למידע שאינו שלכם.
• שימוש בשירות כדי לבנות מוצר מתחרה או לאמן מודל מתחרה.

תשובות שנכתבות על ידי AI

דנה כותבת את התשובות לאורחים בעזרת AI. ה-AI עלול לטעות: תשובה עלולה להיות לא מדויקת, חלקית או לא עדכנית, במיוחד אם המידע שמסרתם לדנה כזה. כשדנה לא בטוחה, היא מעבירה את השיחה לצוות שלכם, אבל היא לא יכולה לזהות כל טעות.

אתם אחראים למידע, לנהלים, למחירים ולהגדרות שאתם נותנים לדנה, לעדכון שלהם, ולהודעות שנשלחות לאורחים שלכם בשמכם. עברו על העבודה של דנה באופן קבוע ותקנו כל דבר שגוי.

הודעות לאורחים והסכמה

אתם אחראים לקבל את הסכמת האורחים שלכם בכל מקום שהחוק מחייב זאת, כולל הסכמה לקבלת הודעות שיווקיות לפי חוק התקשורת (בזק ושידורים), התשמ"ב-1982 וחוקים דומים במדינות אחרות. אתם גם אחראים לפעול לפי הכללים של פלטפורמות ההודעות שבהן אתם משתמשים עם דנה, כמו מדיניות העסקים והמסחר של WhatsApp.

המידע שלכם ומידע על אורחים

המידע על האורחים שלכם נשאר שלכם. אנחנו מעבדים אותו בשמכם ורק כדי לספק את השירות. אנחנו אף פעם לא מוכרים את המידע שלכם ולא משתמשים בו כדי לאמן מודלים משותפים שמשרתים לקוחות אחרים.

העיבוד שאנחנו מבצעים במידע אישי בשמכם כפוף לתנאים האלה, למדיניות הפרטיות שלנו ולכל הסכם עיבוד נתונים שנחתם בינינו. אנחנו עומדים בסטנדרטים של פרטיות ואבטחה שענף האירוח דורש, כולל טיפול במידע בהתאם ל-GDPR והצפנה בזמן האחסון וההעברה.

מחירים ותשלומים

המחיר תלוי במה שדנה עושה אצלכם, בתפקיד שהיא ממלאת, במספר החדרים ובכמות השיחות עם אורחים בכל חודש. פרטי המחיר מוסכמים בינינו לפני תחילת השירות ומפורטים בהזמנה שלכם.

החשבוניות מופקות במועדים שסוכמו עם מנהל הלקוח שלכם. איחור בתשלום עלול להוביל להשעיה זמנית של השירות, לאחר הודעה סבירה.

קניין רוחני

כל הזכויות בפלטפורמה של דנה, כולל התוכנה, המודלים, הממשקים, המיתוג והתיעוד, שייכות לנו בלבד ויישארו שלנו. שום דבר בתנאים האלה לא מעביר אליכם קניין רוחני שלנו.

כל הזכויות במידע על הנכס שלכם, בנכסי המותג שלכם ובכל תוכן שאתם מספקים נשארות שלכם. אתם מעניקים לנו רישיון מוגבל להשתמש בתוכן הזה אך ורק כדי לספק לכם את השירות.

אחריות

השירות ניתן כמות שהוא (AS IS) ובהתאם לזמינותו. אנחנו עובדים קשה כדי שדנה תהיה אמינה, אבל איננו מתחייבים שהשירות יפעל ללא הפרעות או ללא שגיאות, או שיענה על כל דרישה ספציפית של הנכס שלכם.

במידה המרבית שהחוק מתיר, Dana.ai LTD לא תהיה אחראית לנזקים עקיפים, נלווים, תוצאתיים או עונשיים. האחריות הכוללת שלנו לכל טענה הקשורה לשירות מוגבלת לסכום ששילמתם לנו בשנים-עשר החודשים שקדמו לאירוע שבגינו נטענת הטענה.

שיפוי

תשפו את Dana.ai LTD בגין תביעות של צדדים שלישיים, ובגין העלויות הסבירות של ההתגוננות מפניהן, שנובעות מהתוכן והמידע שמסרתם לדנה, מהודעות שנשלחו לאורחים שלכם לפי ההנחיות או ההגדרות שלכם, או מהפרה שלכם של התנאים האלה או של החוק. נודיע לכם מיד על כל תביעה כזו ונאפשר לכם להשתתף בטיפול בה.

סיום ההתקשרות

אתם יכולים לסיים את המנוי בכל עת בהודעה בכתב, בהתאם לתנאי ההזמנה שלכם. אנחנו רשאים להשעות או להפסיק את הגישה שלכם אם הפרתם את התנאים האלה הפרה מהותית וההפרה לא תוקנה תוך זמן סביר.

בסיום ההתקשרות ניתן לכם זמן סביר לייצא את המידע שלכם. לאחר מכן נמחק את המידע או נהפוך אותו לאנונימי בהתאם למדיניות שמירת המידע שלנו, אלא אם החוק מחייב אותנו לשמור אותו.

הדין החל

על התנאים האלה חלים דיני מדינת ישראל. לבתי המשפט המוסמכים בתל אביב-יפו סמכות שיפוט ייחודית בכל מחלוקת הקשורה לתנאים או לשירות.

שינויים ויצירת קשר

ייתכן שנעדכן את התנאים מדי פעם. כשנעשה שינוי מהותי, נודיע לכם במייל או בהודעה במערכת לפני שהוא ייכנס לתוקף. המשך השימוש בשירות אחרי מועד התחולה מהווה הסכמה לתנאים המעודכנים.
